Terms of Service

Welcome to mHome AI! These Terms of Service ("Terms") govern your access to and use of the mHome AI applications, website, and associated services (collectively, the "Services"). These Terms form a binding agreement between you and MHOME AI, INC., a Delaware corporation with its principal place of business in California ("Company," "we," "our," or "us"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must immediately stop using the Services.


1. Overview

mHome AI allows you to automate the control of your smart home devices and manage data related to their use.

The Services may be offered in different deployment modes, including cloud-hosted operation and local hub operation. Depending on the mode you choose, data storage, processing, and visibility may differ materially.


2. Eligibility and Account Creation

To use certain features of our Services, you may need to create an account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You represent that you are legally able to enter into these Terms and that you have the authority to connect, access, and control any devices, accounts, services, or data sources that you link to the Services.

If you are using the Services on behalf of an organization or another person, you represent that you have authority to bind that person or entity to these Terms.


3. Service Use and Restrictions

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, to the extent that local laws are applicable.

The Services are not designed to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), or the Gramm-Leach-Bliley Act (GLBA). If your interactions with the Services would be subject to such laws, you may not use the Services.

The Services are also not intended for life-safety, emergency response, medical, critical infrastructure, or other high-risk uses where failure, delay, or inaccuracy could lead to death, personal injury, or significant property or environmental damage.


4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. The following activities are prohibited:

  • Modifying, reverse-engineering, or attempting to tamper with the App or its associated software.
  • Using the Services to harm or disable any devices or services.
  • Creating automations that pose a danger to any person, property, or violate any laws.
  • Violating the rights of other users or third parties.
  • Using the Services for fraudulent, deceptive, or illegal activities.
  • Attempting unauthorized access to our servers, databases, or other resources.
  • Introducing viruses, malware, or other harmful code.
  • Interfering with the integrity, performance, or functionality of the Services.
  • Sharing, distributing, or selling unauthorized copies of the App.
  • Circumventing security measures or authentication mechanisms.
  • Overloading the system with excessive automated requests or other disruptive behaviors (e.g., denial-of-service attacks).
  • Collecting or harvesting personal information from other users without their consent.
  • Using the Services in any manner that breaches applicable data privacy laws.
  • Impersonating the Company, another user, or any third party.
  • Using the Services as a substitute for monitored alarm, fire safety, security, emergency notification, or other mission-critical protective systems.

A violation of these acceptable use terms may result in the suspension or termination of your access to the Services and may subject you to legal consequences.


5. Smart Home Automation Disclaimer

Responsibility for Automations: You are solely responsible for the automations you create using the Services. You must ensure that your automations are safe, reasonable, and compliant with all applicable laws. Automations you create may impact device functionality and performance. You should verify that your devices are functioning as expected before relying on automations, especially in critical situations.

You should independently verify device behavior before relying on any automation in situations involving security, safety, access control, climate control, appliances, pets, children, or vulnerable individuals.

Device Compatibility: While the Services integrate with many third-party smart home devices, we do not guarantee compatibility with all devices. We make no warranties regarding the uninterrupted or error-free functionality of integrated devices.

Limitation on Liability: The automation features of the Services are provided on an "as-is" basis. You assume all risks associated with their use, including those arising from external data sources, device malfunctions, or unexpected behavior. We are not liable for any personal injury, property damage, or other losses resulting from automations created through the Services or from third-party devices and data sources integrated with the Services.

The Services are provided for convenience and coordination only. We do not guarantee that any automation, notification, command, or workflow will execute correctly, on time, or at all.


6. Deployment Modes and Data Handling

The Services may operate in different deployment modes, and data handling differs depending on the mode selected by the user:

  • Cloud-Hosted Mode: If you choose a cloud-hosted deployment, your service data may be stored and processed in infrastructure operated by or on behalf of MHOME AI, and such data is within our managed cloud environment.
  • Local Hub Mode: If you choose a local hub deployment, the substantial majority of automation data, device data, and runtime data remains on the user's local hub device and is not ordinarily visible to MHOME AI's cloud services.
  • Cloud Exceptions for Local Hub Mode: Even in local hub mode, certain limited categories of information may still be stored or processed in our cloud systems, including account registration information, space / household metadata (such as the existence of a household space and member information), and billing, subscription, usage, and token consumption records.
  • Additional Cloud-Supported Functions: Local hub mode may also rely on limited cloud-supported control-plane or service-delivery functions, such as software or integration package delivery, licensing, service updates, and other limited operational metadata reasonably necessary to operate, secure, update, support, or bill for the Services.
  • Agent-Related Cloud Functions: Certain agent-related features are expected to rely on cloud services on a continuing basis even when a user deploys a local hub. For example, some agent capabilities and related conversation records may be processed or stored in our cloud systems.
  • Developer-Oriented Local Agent Option: We may also support developer-oriented local agent setups in which a user provides their own API key, token, or equivalent credential and configures agent functionality locally. This local agent path is intended for a different audience and deployment model than the standard cloud-supported agent experience.

7. Subscriptions, In-App Purchases, and Fees

Certain features of the Services may require a paid subscription or in-app purchase ("Premium Features").

Fees are generally non-refundable except where required by applicable law. If you purchase through a third-party app marketplace such as the Apple App Store or Google Play, billing, cancellation, and refunds may also be subject to that marketplace's rules and policies.

Cancellation Policy: You may cancel your subscription at any time. Your access to Premium Features will continue until the end of the current billing cycle.


8. Third-Party Services and Devices

The Services may integrate with or rely on third-party services, APIs, or devices (e.g., smart device manufacturers, voice assistants).

We do not control and are not responsible for the behavior, data policies, or availability of any third-party services. By linking your smart devices or accounts, you agree to their respective terms and conditions.

Liability: We are not liable for any issues arising from third-party hardware or software integrations.

You acknowledge that the Services may transmit data from one connected service or device to another when required to execute an automation or workflow that you configured.


9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.


10. Limitation of Liability

The Services are subject to system failures and external disruptions (e.g., network issues, power outages, improper configuration) and should not be solely relied upon in emergencies or in situations where failure could lead to significant harm.

To the fullest extent permitted by law, we are not liable for any damages, loss of data, property damage, or personal injury resulting from the creation or execution of automations or the use of the Services. This includes, but is not limited to, failures in automation that lead to hazardous conditions, such as the failure of alarms, unsafe operation of appliances, or mismanagement of environmental controls (e.g., heating, air conditioning).

To the fullest extent permitted by law, our aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the 12 months before the event giving rise to the claim, or (b) USD $100.


11. Intellectual Property Rights

Ownership: All intellectual property rights in the Services, including their design, features, functionality, source code, algorithms, trademarks, and content ("Content"), are the exclusive property of mHome AI or its licensors. These rights are protected by applicable intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use, subject to these Terms. This license does not grant you any ownership rights in the Services or its Content.

Restrictions: You agree not to copy, modify, distribute, sell, or lease any part of our Services or Content, nor may you reverse-engineer or attempt to extract the source code of the software, without our prior written permission.

Feedback: If you provide us with feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Services and other products without any obligation or compensation to you.

Third-Party Content: The App may display or integrate third-party content, trademarks, or services. All rights to such third-party content belong to their respective owners, and your use of such content is subject to their terms.

Violation of Rights: Any unauthorized use of the App or its Content constitutes a violation of these Terms and may result in the termination of your access to the App, as well as legal action to protect our intellectual property rights.


12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Services or by other means. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.


13. Termination

We reserve the right to terminate or suspend your account and access to the Services, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease.

Any provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and dispute-related provisions.


14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Delaware.

Before filing a formal claim, you agree to first contact us at yw@mhome.ai and attempt in good faith to resolve the dispute informally.
